Transaction support is a comprehensive service that includes legal support at all stages of the transaction.

The goal is to minimize risks associated with document errors, unscrupulous counterparties, or unilateral changes to terms. The transaction manager facilitates negotiations and a safe deposit box, agreeing on the location and time of the transaction.

Transactions in African countries have their own unique characteristics. Furthermore, most transactions lack a legal basis, contracts, etc. Failure to fulfill contracts is a common practice among local businessmen in cases of reluctance or misunderstanding.

Transaction support

Transaction support can be focused on various types of transactions, such as:
- the purchase and sale of real estate or movable property;
- provision of services (medical, consulting);
- related to construction work, delivery, and transfer of property into trust;
- gratuitous transfer of property rights (donation).

Stages of transaction support

Some stages of transaction support:
- Document preparation and analysis. The lawyer reviews the counterparty's documents and assesses their compliance with the law.
- Verification of the counterparty and the legality of their actions. The counterparty's incorporation documents, their right to dispose of property, and their legal capacity are verified.
- Drafting the final version of the contract, agreements, and annexes. If, during the transaction, it is discovered that the contract does not address all the terms or one of the parties disagrees with them, the lawyer makes amendments and draws up a protocol of disagreements.
- Claims and protection of the client's interests after the transaction is completed. If the counterparty fails to fulfill its contractual obligations or is found to be unable to dispose of the property, the lawyer ensures the client's rights are protected during the pre-trial stage and in court.

Examples of services

Some services that may be included in transaction support:
- Due diligence. For example, analyzing title documents, identifying encumbrances and third-party claims.
- Participation in negotiations. The lawyer develops a negotiation strategy and agrees on the terms of the transaction with the counterparty.
- Contract drafting. The specialist includes all the terms of the transaction in the contract and accurately spells out the clauses.
- Transaction preparation. The lawyer negotiates with the bank for a meeting room and a safe deposit box, and coordinates the location and time of the transaction.

Storage

A notary is a term that refers to a lawyer with in-depth knowledge of legal facts and the processes prescribed therein. A notary must be admitted and authorized by the High Court of any African country to witness signatures, draft and authenticate contracts and declarations, and certify the validity of certain documents.

This office requires a higher level of care than a lawyer, as the nature of the services they provide is highly ethical and requires specialized knowledge.

Part of a notary's duties includes verifying the true identity of those signing important documents, their knowledge of the contents of the document or transaction, and their willingness to sign without coercion or intimidation. In some situations, a notary must administer an oath, declaring under penalty of perjury that the information contained in the document is true and correct.

Impartiality should be a fundamental value of a notary. They must be bound by their obligations and, therefore, cannot act in situations where they have personal interests. The public trusts that notary due diligence is free from corruption and personal interests.

Lawyer

Lawyers typically specialize in one area, such as family law, property law, tax law, or commercial law.

Lawyers can establish professional firms and practice in partnerships, which can reach the size of the "Big Five" law firms.

Currently, there are approximately 60,000 lawyers and 8,000 candidate lawyers in Africa.
